Terms of Service

1. Definition of Terms

• The “Agreement” refers to these Terms of Service in full and alongside any associated policies, terms or conditions referred to herein.
• “e3 intelligence” refers to “e3 intelligence Ltd” (company number 7649856 registered in England and Wales) whose registered office is: Suite 16439 Lower Ground Floor, 145-157 St John Street, London EC1V 4PW.
• “We” has an identical definition as for “e3 intelligence” above.
• “Site” is defined as the website, websites and/or any portion of the websites owned and operated by e3 intelligence via the domain “e3intelligence.com” or any sub-domain thereof.
• “User” is defined as anyone accessing the Site.
• “You” has an identical definition as for “User” above.
• “Account” is defined as the provision of an exclusive, personalised website interface for a User who has voluntarily registered the minimum required personally-identifiable data as set out on our registration page which grants the User the ability to add content to the Site.
• “Account Holder” is defined as the person, persons, company or organisation under which an order for an Account has been placed and fulfilled, regardless of whether a financial sum has been paid in exchange for that order fulfilment.
• “Subscription” is defined as any Account other than a Basic free Account, such as a Premium, Premium Plus or Corporate Account, offering additional functionality or access to restricted content, which is valid for a defined period at a prescribed price.
• “Subscriber” is defined as the person, persons, company or organisation under which an order for a Subscription has been placed and fulfilled, regardless of whether a financial sum has been paid in exchange for that order fulfilment.

2. Use of the Site

You may use the Site only in accordance with this Agreement.

3. Links

e3 intelligence is not responsible for any loss, additional costs or damage howsoever arising, suffered as a result of using the hyperlinks provided to third party websites.We provide hypertext links to third party websites for the convenience of users. By linking to these websites e3 intelligence in no way endorses the contents, views or information held on such sites.

4. Virus Protection

We make every effort to check and test material at all stages of production. However, it is always wise to run an anti-virus program on all material downloaded from the internet. We cannot accept any responsibility for any loss, disruption or damage to your data or your computer system which may occur whilst using material derived from this website.

5. Copyright and Creative Commons License

All work created and published by e3 intelligence which is publicly accessible on the Site without registration, membership or subscription is licensed under a Creative Commons Attribution Non-Commercial 3.0 Unported License. This means that you are free to share, copy, adapt, distribute and transmit the work for any non-commercial purpose providing you attribute the work in the manner specified by us (but not in any way that suggests that we endorse you or your use of the work).

The copyright pertaining to all other content on the Site rests exclusively with e3 intelligence and you should not copy, reproduce, re-distribute, republish, download, post, broadcast, transmit or otherwise use the Site content in any way except for your own personal, non-commercial use. You also agree not to adapt, alter or create a derivative work from the Site content except for your own personal, non-commercial use. Any other use of the Site content requires the prior written permission of e3 intelligence. We may withdraw users’ right to use the Site at any time, without notice.

6. Intellectual Property

e3 intelligence respects intellectual property rights, and expects you to do the same. Please note therefore that the Site, the Site’s code and technology, and any services delivered through it, are the property of e3 intelligence and protected by intellectual property rights (including but not limited to copyright) and that you do not have a right to use the Site (including but not limited to its content) in any manner not covered by this Agreement.

7. Disclaimers and Limitation of Liability

This Site and content, including the information, opinions, images, links, software applications and downloads regarding or relating to e3 intelligence, its producs and services (or to third party products and services), is provided in good faith but is for general information and interest only. To the extent permissible by applicable law, e3 intelligence excludes all warranties (whether express or implied by law), including any implied warranties of satisfactory quality, fitness for a particular purpose, non-infringement, compatibility, security and accuracy.

Irrespective of any other term or statement on this Site, e3 intelligence does not exclude its liability (if any) to you for personal loss resulting from e3 intelligence’s negligence, for fraud or for any other matter which it would be illegal for e3 intelligence to exclude or attempt to exclude. Otherwise e3 intelligence will not be responsible to you at all, whether in contract, tort (including negligence), breach of statutory duty, restitution or otherwise for any injury, damage or direct, indirect or consequential loss (all three of which terms include without limitation pure monetary loss, loss of profits, loss of business or revenue, depletion of goodwill, lost expectation, loss of savings, lost data and similar loss) however caused arising from or in connection with the use of the Site, or using, accessing, downloading or relying on any information or other materials contained in this Site including without limitation as a result of any computer virus.

e3 intelligence does not warrant that functions contained in the Site’s content will be uninterrupted or error free, that defects will be corrected, or that the Site or the server that makes it available are free of viruses or bugs, or that use of this Site will be compatible with any hardware and software which may be used by visitors to the site.

8. Restrictions on Use

You agree to use the Site only for lawful purposes, in compliance with applicable law and in a way that does not infringe anyone’s rights or restrict or inhibit anyone else’s use and enjoyment of the Site. Prohibited behaviour includes harassing or causing distress or inconvenience to any person, transmitting obscene or offensive content or disrupting the normal flow of dialogue within the Site.

9. User Accounts

You need to create an Account and provide information about yourself in order to use some of the features on the Site. Your account is for your personal, non-commercial use only. You may not impersonate someone else (eg, adopt the identity of a celebrity), create an account for anyone other than yourself, provide an email address other than your own, or create multiple accounts.

10. Contract formation

By creating an Account you confirm that you are 18 years of age or more, or that you are 12 years of age or more and that you have received your parent’s or guardian’s consent to enter into this Agreement, that any registration information that you submit to e3 intelligence is true, accurate and complete, that you will update such information in order to keep it current, and that you agree to the terms and conditions of this Agreement and the e3 intelligence Privacy Policy. You also hereby agree to termination of any previous Terms and Conditions agreed with e3 intelligence (if applicable).

11. Account Holder Responsibility

The Account Holder is responsible for all activity originating from the Account unless proven to be a victim of outside hacking or address forgery. The Account Holder is responsible for securing their username/password. You agree to notify us immediately of any unauthorised use of your Account.

Use of the Site requires a certain level of knowledge in the use of internet-based software. The Account Holder agrees that he or she has the necessary knowledge to create, maintain and use their Account for the purposes they intend. The Account Holder agrees that it is not the responsibility of e3 intelligence to provide this knowledge or support.

12. Abuse of the Legal Rights of Others

The Account Holder agrees not to use their Account to abuse the legal rights of third parties. Examples of unacceptable activities in this regard include posting private information about a person without their consent, infringing intellectual property rights, posting libelous content, defaming a person or business, and knowingly making available code which will have a deleterious effect on third party computers. e3 intelligence supports free speech on the internet, and will not suspend or cancel an Account Holder’s Account simply because it disagrees with the views expressed by the Account Holder.

13. Unacceptable Activities

For the avoidance of doubt, Users and Account Holders agree that they may not (without limitation) engage in unacceptable activities including, but not limited to:

• spamming (sending unsolicited advertising to recipients with which the Account Holder has no existing business relationship, posting off-topic advertising in discussion groups)
• spoofing (using a return email address which is not the valid reply address of the sender or sending an email message which does not contain enough information to enable the recipient to identify the party who is really sending the message)
• trolling (posting controversial and/or provocative content to generate responses)
• mailbombing (inundating another Account Holder with email without any serious intent to correspond)
• subscribing someone else to an electronic mailing list without that person’s permission
• hacking/cracking (accessing, modifying or injecting code or data into the Site with the intention of corrupting its normal operation).

14. Notification of Unacceptable Activities

We will, from time to time, monitor the content of discussion groups and other user-generated Content on the Site, but it should be noted that e3 intelligence cannot guarantee to monitor all such content, nor does it have the practical capability to do so.

We may be notified that unacceptable content has been posted on the Site. However, this notification must (for each particular instance) include a full link (URL) to the content in question, an explanation of why the content in question is unacceptable and a short quote from that content. In the absence of this information, e3 intelligence will not be considered to have been informed of a breach of this Agreement.

Upon notification of any unacceptable content, we will take all practical steps to investigate and resolve the matter, but reserve the right to remove any content about which a complaint has been made, or to suspend or terminate an Account about which a complaint has been received without notice or warning.

15. Privacy

e3 intelligence’s Privacy Policy forms part of this Agreement.

16. Your Content

Account holders can contribute to the Site in a number of different ways, including, but not limited to, filling out a public profile, posting updates and contributions to discussion groups, adding comments to published content (“Your Content”). We typically provide you with online controls to regulate the use, sharing and display of Your Content and wherever we do, we will endeavour to abide your preferences.

Subject to any limitations of the consent you have granted over the use of Your Content , we may use Your Content in a number of different ways, including displaying it on the Site, reformatting it, incorporating it into advertisements and other works, creating derivative works from it, promoting it, distributing it, and allowing others to do the same in connection with their own websites and media platforms. As such, you hereby irrevocably grant us permission to use Your Content for any purpose. You also irrevocably grant the Site’s Users and the users of any other media the right to access Your Content in connection with their use of the Site and any other media. Finally, you irrevocably waive, and cause to be waived, any claims and assertions of moral rights or attribution with respect to Your Content.

You alone are responsible for Your Content. You assume all risks associated with Your Content, including anyone’s reliance on its accuracy, completeness or usefulness, or any disclosure by you of information in Your Content that makes you personally identifiable. You represent that you own, or have the necessary permissions to use, and authorise the use of, Your Content as described herein. You may not imply that Your Content is in any way sponsored or endorsed by e3 intelligence.

You may expose yourself to liability if, for example, Your Content violates any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right; contains material that is false, intentionally misleading, or defamatory; contains material that is unlawful, including illegal hate speech or pornography; exploits or otherwise harms minors; or violates or advocates the violation of any law or regulation.

We may remove or reinstate user Content from time to time at our sole discretion. For example, we may remove a comment if we believe it violates our content guidelines. We have no obligation to retain or provide you with copies of your Content, nor do we guarantee any confidentiality with respect to your Content.

17. Prices

e3 intelligence may change the price for Subscriptions from time to time. Such changed prices will take effect after the expiry of the then current paid for period (ie the term that a Subscriber has already paid for). Any price change will be communicated to you. If you do not wish to be bound by such changed price relating to your Subscription you may terminate your Subscription. Your continued use of the Site after the communication of such price change to you constitutes an acceptance of such new price.

18. Cooling-off period

If you have purchased a Subscription over the internet, you have the right to cancel your purchase and receive a full refund within 14 days of purchase. However, please note that if you log into the Site or start to consume any restricted Site content within the 14-day period you will no longer have a right to cancel or withdraw from your purchase. In addition, after the 14-day period has elapsed you no longer have the right to cancel your purchase and receive a refund even if you do not subsequently log into the Site or consume any of its content.

19. Payments and Refunds

Individual Subscriptions may be paid for using the PayPal payment gateway, which also accepts most debit and credit cards. There is no charge or service fee for processing credit card payments. Full payment via PayPal is required to activate a Subscription. No refunds are available once a Subscription has commenced.

20. Vouchers

e3 intelligence will, from time to time, issue various coupon code vouchers which grant access to special features, discounts and/or prices. Any Subscription activated wholly or in part with a coupon code voucher is deemed to be equivalent to a paid Subscription and is subject to the exact same provisions of this Agreement as a fully paid-for Subscription.

Whilst e3 intelligence will attempt to honour any coupon codes based on their face validity, we reserve the right to withdraw, modify, re-issue or de-activate any and all such coupon code vouchers without notice or warning for a temporary or permanent period without explanation.

We encourage Users to reasonably share and promote any e3 intelligence coupon code vouchers, but if we become aware of any systematic explotation or mis-use of such coupon code vouchers, we reserve the right to suspend or terminate any Users’ Accounts we belive to be linked to the abuse.

21. Account Termination

Account Holders may terminate their Accounts at any time by using the account deletion tools provided within the Account. Alternatively, when Subscriptions expire, Accounts will automatically be downgraded to the Basic free Account.

22. Minimum Contract Periods

Unless otherwise agreed with us in advance and in writing, or through the application of a coupon code voucher package which offers a specific defined Subscription period, Contract Periods will run for 12 months.

If you have any questions concerning e3 intelligence, the Site or this Agreement, please contact customer service by visiting the help centre.

24. Changes to the Agreement

e3 intelligence may make changes to this Agreement at its sole discretion. Any material changes will be communicated to you and your acceptance of and/or continued use of the Site after such notification of changes to this Agreement will constitute your acceptance of such changes.

25. No warranty

The use of the Site (including but not limited to its content) is at your own risk. The Site is provided on an “as is” and “as available” basis. To the fullest extent possible under applicable law, e3 intelligence gives no warranty, express or implied, as to the quality, content and availability or fitness for a specific purpose of the Site and its services.

26. Indemnity

You agree to indemnify and hold e3 intelligence and its officers, directors, employees and associates harmless from any claim or demand (including but not limited to reasonable legal fees) made by a third party due to or arising out of or related to your violation of the terms and conditions of this Agreement or your violation of any laws, regulations or third party rights.

27. Assignment by e3 intelligence

e3 intelligence may assign this Agreement or any part of it without restrictions. You may not assign this Agreement or any part of it to any third party.

28. Technology limitations and modifications

e3 intelligence will make reasonable efforts to keep the Site and its services operational. However, certain technical difficulties or maintenance may, from time to time, result in temporary interruptions. e3 intelligence will attempt to give reasonable notice to Users of such interruptions, but reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, functions and features of the Site with or without notice.

29. Entire agreement

This Agreement together with the e3 intelligence Privacy Policy (the “Agreements”) constitutes all the terms and conditions agreed upon between you and e3 intelligence and supersede any prior agreements in relation to the subject matter of these Agreements, whether written or oral. Any additional or different terms or conditions in relation to the subject matter of these Agreements in any written or oral communication from you to e3 intelligence are void. You agree and accept that you have not accepted the terms and conditions of this Agreement in reliance of or to any oral or written representations made by e3 intelligence not contained in this Agreement.

30. Severability

Should for any reason or to any extent any provision of this Agreement be held invalid or unenforceable, such invalidity or enforceability shall not in any manner affect or render invalid or unenforceable the remaining provisions of this Agreement and the application of that provision shall be enforced to the extent permitted by law.

31. Governing law and disputes

This Site is controlled and operated by e3 intelligence from its offices in England. Except as otherwise provided by local law in your country of residence, these terms shall be governed by and interpreted in accordance with the laws of England and Wales and e3 intelligence and you submit to the non-exclusive jurisdiction of the courts of England and Wales.
